The License is a Single-Use license and authorizes the use of the Product exclusively within one Project.
Capitalized terms not defined in this License shall have the meaning assigned to them in the Terms and Conditions of the Service.
Licensor – Szymon Poźniak UI/UX Studio, Poland (NIP/VAT: PL5492469537), trading as Towasze Studio
Licensee – an entity that has purchased the Product via a Sales Platform.
Project – a single website implementation for one end client.
End Product – the final, customized version of the Product used within a single Project.
The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Product under the terms of this License.
The License is granted for an indefinite period and without territorial limitations.
The License does not constitute a transfer of economic copyrights (copyright ownership) to the Product.
The License covers the following fields of exploitation:
a) reproduction of the Product in whole or in part in the memory of devices and IT systems of the Licensee,
b) storing the Product in the memory of a computer, server, or systems used for website implmentation,
c) modifying the Product to the extent necessary to adapt it to the needs of the Project,
d) making the End Product publicly available in such a way that anyone may access it at a place and time of their choosing (Internet),
e) using the Product in accordance with its intended purpose.
The License is a Single-Use license and authorizes the use of the Product exclusively within one Project.
Regardless of the scope and degree of modification of the Product, all its versions remain subject to this License.
The Licensee may use the Product to complete one Project for an end client, including for remuneration.
Making the End Product available as part of the Project does not include:
a) transfer of rights to the Product,
a) transfer of rights to the End Product as a separate work,
a) the right to use the Product in other projects.
The end client may use the End Product solely within the scope of a single Project.
The License covers the use of the Product regardless of the hosting environment or technical platform.
License restrictions apply irrespective of the hosting location or method of implementation.
In particular, it is prohibited to:
a) use the Product in more than one Project without obtaining an additional license,
b) further distribute, resell, sublicense or otherwise make available the Product, in whole or in part, as a standalone product,
c) use the Product (in whole or in part) to create and distribute competing templates, themes or products intended for sale,
d) extract individual components, sections, layouts or graphical elements of the Product for use outside a single Project,
e) remove authorship markings or copyright notices contained in the Product.
The Product is provided on an “as is” basis.
The Licensor shall not be liable for incompatibility of the Product with tools, plugins or services of third parties.
The Licensor’s liability related to the use of the Product shall be subject to the relevant limitation of liability provisions set out in the Terms and Conditions of the Service.
Limitations of liability do not affect consumer rights arising from applicable law.
In the event of a breach of this License by the Licensee, in particular by:
a) using the Product in more than one Project without obtaining an additional license, or
a) using the Product to create and distribute competing templates or products intended for sale,
the Licensor may demand payment of a contractual penalty in the amount of 1000 USD for each breach.
Payment of the contractual penalty does not exclude the Licensor’s right to claim damages exceeding the amount of the contractual penalty under general principles.
The License is granted directly by the Licensor to the Licensee.
Sales Platforms through which the Product is purchased, in particular Lemon Squeezy, Webflow Marketplace, are not parties to this License and do not grant the License.
This License shall be governed by Polish law.
Matters not regulated herein shall be governed by the provisions of the Polish Copyright Act and the Civil Code.
